These Seller Terms (this "Agreement") are a contract between PIXDEEL, LLC, a Wyoming limited liability company ("PixDeel", "we", "us"), and you, the person or business registering an account to take part in events on PixDeel ("you"). You can take part as a photographer who uploads and sells Media, as a collaborator on another photographer's event, or as a partner who receives a share of sales on an event without uploading anything (Section 14). Some sections of this Agreement apply only to Media you upload and sell; where that is so, they do not create obligations for you in a role where you upload nothing. By checking the acceptance box and creating your account, you accept this Agreement. We keep a record of the version you accepted and when. If we change this Agreement in a way that materially affects your rights or obligations, we will ask you to accept the updated version before you continue using seller features; other changes take effect when posted with an updated date.

1. What PixDeel is, and what it is not

PixDeel is a software platform. Every event on PixDeel has an organizer, who operates a branded storefront on the platform: the organizer creates the event, decides what is offered in it, sets the price of each item in it, and sells to buyers. You can take part in an event as its organizer, as a collaborator who uploads Media to another photographer's event, or as a partner (Section 14). PixDeel sets a minimum listing price per region, and the price of every item is set at or above that minimum by the organizer of the event the item belongs to, including items uploaded by a collaborator. PixDeel does not set, cap, approve or override the price of any item. The current minimum for the region is shown when an item is listed. PixDeel provides the software, hosting, and sales infrastructure; it is not the seller of the Media sold on it.

PixDeel owes you your share of each sale of your Media. That obligation is PixDeel's own, and it does not depend on PixDeel first recovering any amount from a buyer. Where an event has more than one participant, PixDeel owes each participant that participant's share in the same way, whether or not that participant uploaded Media. What PixDeel owes you is what results from the fees, splits and deductions described in Sections 4 and 14, and it remains subject to PixDeel's rights of deduction and set-off under Section 4.

Buyer payments for sales on the platform settle into PixDeel's account with our third-party payment processor (currently Stripe). PixDeel discharges what it owes you by instructing the processor to pay your share to your connected payout account. Custody, settlement and movement of funds are performed by the processor throughout, within the processor's systems. PixDeel does not hold or handle your funds, or a buyer's funds, outside the processor's systems, and does not receive them into any bank account of its own. PixDeel is a software company, not a bank, money transmitter, or payment processor.

Payout timing follows the processor's settlement timelines and the processor's own terms for your connected payout account. Where the processor delays, holds, or reverses a payment, that affects when you are paid and not whether PixDeel owes you, and PixDeel will instruct payment of your share as soon as the processor permits it.

2. Your account

To register you must be at least 18 years old, based in the United States, and authorized to bind the business you register for. You agree to provide accurate information and keep it current, to keep your credentials secure, and to accept responsibility for activity under your account. PixDeel is currently offered in the United States only.

3. You are an independent business

You are an independent business selling your own work. Nothing in this Agreement or in your use of the platform creates an employment, agency, partnership, joint-venture, or franchise relationship between you and PixDeel. This is equally true when you act as a collaborator on another photographer's event (Section 14). You have no authority to act for PixDeel or bind it in any way.

4. Payments, fees, and payouts

To sell on PixDeel you must onboard a connected payout account with our payment processor and keep it in good standing. The processor's own terms apply to that account, and identity verification and payout timing are handled by the processor, not by PixDeel.

"Platform fees" means any fee PixDeel charges in connection with your use of the platform, including fees that apply to an event or to a sale, fees charged to a buyer at checkout, and fees that apply to your account or to a withdrawal. The platform fees and any revenue splits that apply to an event are shown to you in the platform before you publish an event or accept an invitation to take part in one. Fees charged on a sale are deducted through the payment processor at the time of the sale, and PixDeel pays out the remainder to your connected account through the processor. We may change platform fees for future sales, future withdrawals, and future account periods, with notice to you through the platform; changes never apply retroactively to completed sales or completed withdrawals.

PixDeel charges a platform commission on each sale in an event, calculated on the sale as actually made, and charges it to the organizer of that event. Where you are the organizer, you receive the price you set for the item, less that commission, less any share payable to a partner on the event, and less the share payable to a collaborator who uploaded the item. Where you take part as a collaborator or as a partner, you receive the share described in Section 14, and the price the share applies to is the price set by the organizer. Discounts, bundles, and promotion codes run on the event reduce the sale, and reduce the commission and every share with it. The commission that applies is shown in the platform before an event is published or an invitation to take part in one is accepted.

Separately, PixDeel charges the buyer a fixed service fee for each event in the buyer's order. That fee is charged by PixDeel to the buyer. It is not deducted from your proceeds, it is not part of your sale, and discounts and promotion codes you run do not reduce it. It does mean that the total a buyer pays at checkout is higher than the prices you set.

You choose when to withdraw your available balance. For each withdrawal, we charge a withdrawal fee equal to the payment processor's then-current payout fee for that transfer, with no markup added by PixDeel. We show you the exact amount before you confirm the withdrawal.

You authorize PixDeel to debit your connected account balance, and to deduct from amounts otherwise payable to you, for platform fees, for any amount PixDeel paid or credited to you in connection with an order that is later refunded or charged back, and for any negative balance on your connected account. Where your connected account balance is not sufficient, you will pay the amount owed on request.

PixDeel files the United States tax information returns required by law for the amounts you receive through the platform, and prepares and delivers them using our payment processor's tax reporting facilities. Which return applies, and whether any return is required at all, depends on your role in an event and on thresholds set by law.

5. Taxes

You are responsible for your own taxes, including income and self-employment taxes on your sales. Where a marketplace facilitator law or similar law requires tax on platform sales to be calculated, collected, or remitted by the platform or its payment processor, PixDeel or the processor may do so; for any tax not required by law to be collected by PixDeel or the processor, collecting and remitting it is your responsibility.

6. Your Media and the license you give us

You own your Media. So that we can run the platform, you grant PixDeel a non-exclusive, worldwide, royalty-free license to host, store, and process your Media (including generating faceprints from Media to power the face search feature described in our Biometric Data Policy), to watermark preview versions, to display and deliver your Media to buyers and event participants through the platform, and to archive and delete it under our published retention schedule. This license extends to the service providers that run our infrastructure (such as hosting and payment providers) solely so they can provide those services. The rights a buyer receives in Media they purchase are granted by you through the platform at the time of sale. This license ends for a given item of Media when it is deleted from the platform, except for copies retained under the retention schedule and Media already delivered to buyers.

7. Your promises about your Media

You represent and warrant, for everything you upload, that:

  • you have the lawful right to capture and commercialize each item of Media, including any authorization from the event organizer or venue where one is required;
  • the content of your Media, including images of minors, is your responsibility. PixDeel's own handling of minors on the platform is reactive, as described in the published Privacy Policy and Biometric Data Policy: a parent or guardian can require removal of a minor's photos and permanent destruction of any faceprint derived from them at any time, and we act promptly. You agree to cooperate with those removals and not to re-upload removed Media;
  • your Media and its sale do not infringe or violate anyone's intellectual property, publicity, or privacy rights; and
  • you comply with the laws that apply to your business and your sales.

8. Biometric data

PixDeel is the sole controller of the biometric layer of the platform. Faceprints generated from your Media are created, held, and destroyed by PixDeel under the Biometric Data Policy. You never receive faceprints or any other biometric identifiers or biometric information from the platform, and you must not attempt to access, extract, reverse engineer, or independently generate biometric identifiers or biometric information from platform data. You must never sell, lease, trade, or otherwise profit from biometric identifiers or biometric information relating to platform users or the people depicted in event Media. PixDeel sells photographs, never faceprints, and so do you.

9. Data processing terms

(a) Roles. For the Media you upload and sell, you are the controller and PixDeel processes and hosts it on your behalf as your service provider, under this Section. PixDeel is the sole and independent controller of the biometric layer (Section 8) and of platform account, security, and transaction data.

(b) Our commitments as your service provider. For your Media and the related order data we process on your behalf, PixDeel will: process it only to provide the services described in this Agreement and as permitted or required by law, and for no other purpose; not sell it or share it for cross-context behavioral advertising; keep it confidential; protect it with reasonable security measures; engage subcontractors (such as hosting and payment infrastructure) only under protections comparable to this Section; delete it under the published retention schedule and on termination as described in Section 16; and notify you if we determine we can no longer meet these commitments.

(c) Buyer emails. For events you operate, we share the buyer's email address with you so you can provide support and order updates, as disclosed to buyers at checkout. You may use those email addresses only for support and order updates for that buyer's orders. You may not add them to marketing lists, sell or share them, or use them for any other purpose. You must protect them, comply with applicable law in every message you send, and delete them when they are no longer needed for support or when we ask you to following a buyer's deletion request.

(d) Cooperation. If a privacy law applicable to either of us requires contract terms between us beyond this Section for the data described above, this Section is intended to satisfy them, and both parties will cooperate in good faith to adopt any legally required addition.

10. Acceptable use

Everything you upload and sell must be suitable for a general audience. The following are prohibited on PixDeel:

  • child sexual abuse material and any sexualization of minors;
  • pornography, sexually explicit content, and nudity;
  • non-consensual intimate imagery;
  • gratuitous graphic violence or gore;
  • hate content and hate symbols;
  • harassment, bullying, or doxxing;
  • promotion of illegal activity;
  • content that infringes third-party rights, including intellectual property, publicity, and privacy rights; and
  • fraud, misrepresentation, or fake profiles.

11. Enforcement

PixDeel may remove content, suspend accounts or events, or terminate accounts for violations of this Agreement, at its discretion, with notice where practicable. We do not commit to response times and do not operate a formal appeal process. Accounts of repeat infringers, including repeat copyright infringers, will be terminated in appropriate circumstances.

12. When we remove content

When we remove your content for a violation, we tell you and give you the reason, unless the removal involves child safety or we are legally restricted from telling you, in which case no notice is given.

13. Copyright complaints (DMCA)

We respect copyright and expect the same from you. If you believe Media on PixDeel infringes your copyright, send a notice to our designated agent containing: (1) your physical or electronic signature; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the material claimed to be infringing and information reasonably sufficient to locate it (a URL is best); (4) your contact information; (5) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner.

On receiving a valid notice we may remove or disable access to the material and will notify the uploader (subject to Section 12). If your Media was removed and you believe the removal was a mistake or misidentification, you may send our designated agent a counter-notice containing: (1) your physical or electronic signature; (2) identification of the removed material and its former location; (3) a statement under penalty of perjury that you have a good-faith belief the material was removed by mistake or misidentification; and (4) your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal district court for your judicial district and that you will accept service of process from the person who filed the original notice or their agent. We may restore the material 10 to 14 business days after receiving a valid counter-notice unless the original complainant informs our agent that they have filed a court action about it. Knowingly making a material misrepresentation in a notice or counter-notice can make you liable for damages under 17 U.S.C. § 512(f). Repeat infringers are handled under Section 11.

14. Collaborations and partnerships

(a) Collaborators. You can invite other registered PixDeel photographers to collaborate on an event, and you can join other photographers' events as a collaborator. A collaborator uploads Media to the event. Everything in this Agreement applies to Media you upload as a collaborator, including your warranties (Section 7), the biometric covenants (Section 8), and acceptable use (Section 10).

(b) How a collaborator is paid. Each collaborator on an event is set to one of two modes, and the organizer chooses the mode. Before you upload any Media to an event, we show you in that event's panel the mode that applies to you and the terms of your participation in that event. By uploading Media to the event, you accept those terms for that event.

  • Share of sales. The collaborator earns a percentage of sales of the Media that collaborator uploaded. The organizer sets the price of that Media, as the organizer does for every item in the event, and the collaborator's percentage applies to the price the organizer set. PixDeel executes that share through the payment processor at payout.
  • Paid outside the platform. The collaborator does not take part in sales on PixDeel, and PixDeel pays the collaborator nothing for that event. Where this mode applies to you, we tell you so in the event's panel before you upload, and any compensation is agreed and paid between you and the organizer, outside the platform.

Every collaborator must hold a registered PixDeel account with a connected payout account, in either mode. You cannot be added to an event without one, and an event cannot be published while a collaborator on it lacks one. Holding a connected payout account does not mean PixDeel will pay you: in the paid outside the platform mode PixDeel pays you nothing for that event, whatever accounts you hold.

(c) Amounts we record but do not pay. Where a collaborator is paid outside the platform, the organizer can record the amount the two of them agreed, and we may show it in the platform. That figure is a note for your convenience. PixDeel does not verify it, does not collect, hold, or pay it, and will not intermediate or enforce it. It creates no obligation for PixDeel and is not evidence of any obligation of PixDeel.

(d) Partners. An event organizer can also invite a partner to an event. A partner is a business that receives a share of sales on that event and does not upload Media. A partner is added to an event by the organizer, and must already hold a registered PixDeel account with a connected payout account at the time the partner is added.

A partner's share is a percentage of the order total for that event, taken before the amounts payable to the organizer and to any collaborators. The organizer sets the percentage. We show it to the partner in the partner's panel for that event, from the moment the partner is added and before any sale is made, together with what the partner has earned on that event. PixDeel pays the partner's share through the payment processor, and only for orders completed while the partnership is active.

A partner has no right to upload Media to the event, no rights in the Media of the organizer or of any collaborator, and no right to use buyers' personal information. If you take part in an event only as a partner, Sections 6, 7, and 8 describe obligations that attach to uploading and selling Media and do not create obligations for you in that role. The rest of this Agreement applies to you, including Sections 4, 9, 10, 11, 15, 16, 17, 18, and 19.

(e) We are not a party to your arrangement. Whatever role or mode applies, the arrangement between an event organizer and a collaborator or a partner is between them. PixDeel executes only the shares it is instructed to execute, through the payment processor, and is not a party to, nor a guarantor of, that arrangement. Any dispute about it is between the two of you.

(f) Removing a collaborator from an event. An event organizer can remove a collaborator from an event. When that happens, the organizer chooses whether the collaborator's Media is hidden from sale or stays on sale attributed to the organizer. Where it stays on sale attributed to the organizer, sales of that Media made after the removal are paid to the organizer and not to the collaborator, and you authorize us to apply that instruction to Media you uploaded. Amounts that accrued to the collaborator before the removal are not affected. Re-attribution does not transfer ownership of anything: the collaborator continues to own the Media they uploaded, and can ask us to take it off sale at any time, and we will do so.

(g) Tax documentation and withholding. Before PixDeel pays you in a role in which PixDeel is the paying party, your connected payout account must carry a taxpayer identification number that you have provided and that has been verified through our payment processor, and it must be free of outstanding requirements from the processor. PixDeel does not instruct payment into an account that does not meet those conditions, and payment resumes when it does.

PixDeel may also request a United States Form W-9 or other tax documentation from you, and you agree to provide it. Providing it is not a condition of payment.

Where the law requires backup withholding, PixDeel withholds at the rate required by law and pays the amount withheld to the tax authority. PixDeel does not hold your balance indefinitely because tax documentation is missing: if your account is closing and the conditions in the first paragraph have not been met within 30 days of the account closing, PixDeel applies backup withholding at the rate required by law to the amount then payable and instructs payment of the remainder to you.

The information returns PixDeel files are described in Section 4. The tax treatment of amounts you receive is your responsibility.

15. Buyer disputes and refunds

Purchases are transactions between the buyer and the organizer of the event. PixDeel may, at its discretion, intervene in a dispute, remove content, or issue a refund (executed through the payment processor, including out of your proceeds), and its resolution of the platform remedy applied is final as between you and PixDeel. We do not commit to a mediation or arbitration process. Card-network chargeback rules and the payment processor's own dispute processes operate independently of this Agreement.

16. Term and termination

Either of us can end this Agreement at any time: you by closing your seller account, and PixDeel under Section 11 or with reasonable notice. When the Agreement ends: your storefront closes and your Media is taken down from sale; PixDeel pays out your accrued balance through the payment processor under the processor's settlement timelines, less any refunds, chargebacks, or amounts tied to violations; buyers keep access to Media they already purchased for the download window promised at purchase; and your Media and related data are deleted under the published retention schedule.

Closing your account does not need the agreement of anyone you collaborate or partner with, and an active collaboration or partnership does not keep your account open. When your account closes, or when we terminate it, your participation in any event as a collaborator or as a partner ends, and you earn no share of sales made after it ends. Shares that accrued before then form part of your accrued balance and are paid out as described above. Media you uploaded to another photographer's event is taken down from sale, unless it has already been re-attributed to the organizer under Section 14(f).

Sections that by their nature should survive (including Sections 7, 8, 9, 15, 17, 18, and 19, and Sections 14(c), 14(e), 14(f), and 14(g)) survive termination.

17. Indemnity

You will defend and indemnify PixDeel against third-party claims arising from the Media you upload and sell, including claims under privacy, publicity, and biometric privacy laws relating to the people depicted, and from your breach of this Agreement.

18. Disclaimers and limits on liability

The platform is provided "as is" and "as available". PixDeel does not guarantee sales volume, uninterrupted availability, or error-free operation, and is not responsible for the acts of buyers, other photographers, or the payment processor. To the fullest extent the law allows, PixDeel's total liability to you under this Agreement is limited to the platform fees PixDeel retained from your sales in the 12 months before the event giving rise to the claim, or USD 100, whichever is greater, and PixDeel is not liable for indirect, incidental, consequential, or punitive damages or lost profits. Some laws do not allow certain limits; where that is the case, these limits apply to the fullest extent permitted. This limit does not apply to amounts PixDeel owes you under Section 1 for your share of completed sales, and it does not apply to amounts PixDeel has withheld or deducted from you.

19. Governing law and disputes

This Agreement is governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules, and any dispute between you and PixDeel that reaches court will be brought in the state or federal courts located in Wyoming. If a law of the place where you live or operate gives you rights that cannot be limited or waived by contract, nothing in this Agreement takes those rights away.

20. General

This Agreement, together with the policies it references (the Privacy Policy, the Biometric Data Policy, and the published retention schedule), is the entire agreement between you and PixDeel about selling on the platform. You may not assign it without our consent; we may assign it to an affiliate or in connection with a merger, acquisition, or sale of the business. If part of this Agreement is found unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it. Notices to PixDeel go to legal@pixdeel.com; notices to you go to your account email.
